| Section 397 of the Companies Act is, as the Palmer’s Company Law describes it, a remarkable statutory innovation. It is indeed proved to be so to protect the minority shareholders from the tyranny of the majority. This is an effective remedy for the resolution of shareholder disputes, especially when it emanates from the unfair prejudice caused to the minority by majority action.
